Terms of Service
The rules for using Zenith and for the work we do for you. By creating an account, accepting a quotation or using our platform you agree to them.

Who we are
Zenith Corporate Consultants (Zenith Filings) is an independent professional services business. We help startups and growing businesses with registration, accounting, tax, corporate compliance, payroll and advisory work. We are not a government authority and this is not an official government website. In these terms, "we" and "us" mean Zenith Corporate Consultants, and "you" means the client who uses our website or platform or engages us.
Your account
- You must be 18 or older and able to enter into a contract.
- Give accurate details and keep them up to date. You must verify your email address to sign up.
- Keep your password private. You are responsible for what happens under your account.
- Tell us if you think someone else has used your account.
How an engagement works
- You tell us what you need. We ask questions, confirm the requirement and share a quotation that sets out the scope, the professional fee, any government fees and the documents we need.
- An engagement starts when you accept the quotation. Work begins once we have the documents we need and, where the quotation asks for one, the advance.
- A relationship manager coordinates your work. We update you at agreed milestones and when something significant changes, and we hand over the forms, acknowledgements and records when the work is done.
- Anything outside the scope in the quotation is a separate piece of work and is agreed with you before we begin it.
Your requests on the platform
- Describe your request and answer a service's questions honestly and completely. Timely and accurate information from you is needed for timely work.
- Only upload documents you are entitled to share.
- A request moves through Pending, In progress and Completed (or Cancelled). A completed or cancelled request is closed.
- We may close an engagement after we have delivered the work and followed up with you in writing without an answer.
Fees and payments
- Professional fees are customised to the work and are set out in your quotation. They are not a fixed price list, and a price shown on the website is only a starting point.
- Government fees, stamp duty, taxes, third-party charges (for example a digital signature certificate or a registration fee paid to an authority) and any penalty or interest that arises are shown separately, and you bear them. We pay them on your behalf only when the quotation says so and you have put us in funds.
- The price can depend on the size and complexity of the work, such as turnover, the number of invoices or employees, or the scheme you are registered under. The quotation says which factors apply.
- Zenith does not process payments through the platform today, so payment follows the terms of your quotation.
- Cancellations and refunds are covered by our Refund and Cancellation Policy.
What we need from you
- Give us complete, accurate and timely information and documents, and answer our questions promptly. You must tell us everything that is material to the work.
- Check the returns, forms and records we prepare before you approve or sign them. You are responsible for the accuracy and completeness of the information you provide and of what you approve.
- Give us reasonable access to the people and records we need, and keep your digital signatures, portal logins and one-time codes under your control.
- You are responsible for knowing your own due dates and for complying with the law that applies to your business. Where we have agreed to track a deadline for you, the quotation or agreement says so; a missed deadline caused by late or missing information from you remains your responsibility, including any penalty.
Terms for particular kinds of work
Registrations and incorporations
- Approvals are decided by the competent authority. We prepare and file your application and respond to queries, but we cannot promise an approval or a date for it.
- Business names and other names are accepted or refused by the authority. We can suggest options but cannot confirm that a name will be available.
- Banks, payment providers and other third parties decide for themselves whether to accept an account or an application you make through them. With your consent we may share your details with the one you choose.
- Obligations that begin after registration, such as appointing an auditor or filing annual returns, are yours unless you engage us for them.
Tax, accounting and compliance
- We provide the services listed in your quotation, and invoice them as the quotation says.
- We prepare accounting records, returns and filings from the information you give us. Any advice we give is based on the facts you share and the law at the time, and may change if either changes.
- Audit, certification, attestation and representation before an authority are carried out only through appropriately authorised professionals, only where the law permits, and are quoted separately where they are not part of the engagement.
- Taxes, government fees, penalties and statutory audit fees related to the engagement are payable by you at actual cost.
Trademarks, licences and certifications
- Whether a trademark, licence, certification or similar right is granted is decided by the authority or certifying body, and we cannot promise it.
- Prices are for the scope in the quotation, for example one class or one location; more are charged extra and agreed with you first.
- You are responsible for confirming that the details in the forms are accurate and that you are entitled to the name, mark or work you apply for.
Timelines
Timelines depend on how complete your documents are, how complex the matter is and how the authority processes it. Government websites can be slow or unavailable, and authorities can raise queries or reject an application. We tell you about delays we know of and what we are doing about them, but we are not responsible for delays outside our control.
Confidentiality
We keep your business information and documents confidential and use them only to do the work you asked for. We do not disclose them to anyone without your consent, except where the law, a court order or a professional obligation requires it. If you allow us to share something in particular circumstances, we follow the conditions you set. Your documents stay under your ownership and control.
Uploads and conduct
- Every file is scanned for viruses. A file that is found unsafe is blocked.
- Do not upload unlawful content, malware, or anything you do not have the right to share.
- Do not misuse the platform: no attempts to access other people's data, disrupt the service or avoid its security.
Content and ownership
You keep the rights to the documents and information you provide. You allow us to store and display them to the people who need them to carry out your request. The documents we deliver to you for your engagement are yours to use. Our software, templates, design and branding belong to us.
Availability and changes
We work to keep the platform available but cannot promise it will always be uninterrupted or error-free. We may improve, change or remove features. We will update this page when these terms change, and continuing to use Zenith means you accept the new terms.
Our responsibility
We prepare your work with reasonable skill and care. To the extent the law allows, we are not liable for indirect or consequential losses, for the decisions of government authorities and the systems they run, or for loss that follows from incorrect or incomplete information you gave us. Where we make an error of our own, the way it is put right, including any reimbursement, is set out in the terms agreed for your engagement. Nothing here limits any right you have that cannot be limited by law.
Ending your use
You can stop using Zenith at any time. We may suspend or close an account that breaks these terms or puts others or the platform at risk.
Events outside our control
We are not in breach of these terms, and not liable, for a delay or failure caused by something beyond our reasonable control, such as a natural disaster, a pandemic, a government action or order, a strike, an outage of a government or internet service, or war or civil disorder.
Governing law and disputes
These terms are governed by the laws of India. If you are unhappy with our work, tell your relationship manager first so we can put it right. Disputes that we cannot settle in that way are for the courts in India that have jurisdiction.
Privacy
How we handle personal data is explained in our Privacy Policy.
