Virtual CFO and Finance Advisory

Part-time senior finance leadership for growing businesses: financial planning, cash and working-capital management, reporting, lender and investor readiness, and oversight of accounting and compliance.

Overview

A virtual CFO is an experienced finance professional who works with you on an ongoing basis, remotely and part-time, to do what a full-time chief financial officer would: set the financial plan, watch cash, oversee accounting and compliance, and prepare you for lenders and investors. It suits businesses that need senior judgement on money but are not ready for the cost of a full-time hire.

The engagement is defined by scope and rhythm, for example a monthly review, a weekly cash call and support during fundraising. Zenith agrees both with you at the start.

Who needs it

  • Founders who handle finance themselves and want a second, senior pair of eyes.
  • Startups heading into a funding round, a bank facility or due diligence.
  • Growing small and medium businesses whose accountant keeps records but nobody owns financial strategy.
  • Businesses with tight cash, long receivable cycles or rising costs.
  • Owners planning an expansion, a new entity, a major purchase or an exit.

What Zenith does

Zenith listens first, agrees scope and a tailored quotation, and assigns a relationship manager and a lead finance professional.

  • Financial planning: budgets, forecasts and targets tied to your business plan.
  • Cash and working capital: cash forecasting, receivable and payable discipline, and options for financing the gap.
  • Reporting: a monthly MIS pack with commentary, and key indicators agreed with you.
  • Cost and margin review: where money goes, which products or customers earn, and where to cut or invest.
  • Capital structure and funding readiness: debt and equity options, lender and investor information packs, and financial models.
  • Oversight of accounting and compliance: review of bookkeeping quality, GST, TDS, income tax and ROC calendars, and the coordination of the professionals who file.
  • Controls and policies: approval limits, expense policies and basic internal controls.
  • Board and stakeholder communication: preparation of finance updates and answers to lender or investor queries.
  • Advisory on specific decisions: pricing, hiring, capital expenditure or entity changes.

Audit and certification work, where required, is carried out only by separate, appropriately authorised professionals so that independence is preserved. Zenith does not promise funding, valuation or tax outcomes.

Eligibility and key rules

  • Any registered or unregistered business can use the service; there is no statutory eligibility.
  • A virtual CFO works from your books. Reliable monthly bookkeeping is a prerequisite and can be taken up with Zenith.
  • Responsibility for the accounts, returns and decisions stays with you and your directors or partners. The virtual CFO advises and supervises.
  • Compliance advice follows the applicable law, such as the Companies Act, GST and Income-tax Act. Planning is for compliant structuring only.
  • Fundraising, valuation and some securities matters have their own regulations and may need a specialist professional or lawyer, which Zenith will tell you when relevant.

Documents required

  • Last two to three years of financial statements and tax returns, where available.
  • Current year books or software access, and bank statements.
  • Business plan, pitch deck, investor model or budget, if any.
  • Cap table, shareholders' agreement and details of loans or term sheets.
  • Contracts that drive revenue and major cost commitments.
  • GST, TDS and ROC compliance status, and any open notices.
  • Organisation chart and payroll summary.

Process and timeline

  1. Discovery. A call to understand the business, goals, team and pain points.
  2. Health check. Review of books, compliance status, cash position and reporting.
  3. Plan. A 90-day priority list, reporting calendar and engagement scope are agreed.
  4. Run. Monthly reporting, review calls, cash forecasting and advisory.
  5. Event support. Extra support for a funding round, audit, loan or restructuring as a defined piece of work.
  6. Review. Quarterly review of results against the plan and scope.

Hours and rhythm depend on the size and complexity of the business and are written into the quotation.

Government fees, penalties and due dates

There is no government fee for a virtual CFO engagement. The role does keep the compliance calendar in view, because missed dates carry penalties and interest:

Area Examples of dates the virtual CFO tracks
GST Monthly or quarterly returns and the annual return.
Income tax Advance tax instalments, TDS returns, return filing and tax audit where applicable.
ROC AGM within six months of year end, AOC-4 within 30 days and MGT-7 within 60 days of the AGM.
Directors Annual DIR-3 KYC.

Amounts and dates above reflect public sources read in October 2026 and change with notifications, so Zenith confirms the current figures in your quotation.

Common mistakes

  • Hiring a virtual CFO before the books are reliable.
  • Asking for strategy but sharing numbers only at year end.
  • Treating the engagement as a filing service; filing and advisory are different scopes.
  • Not agreeing decision rights, for example who can approve spend or sign a loan.
  • Raising funds without a model, a clean cap table and up-to-date compliance.
  • Ignoring working capital while chasing revenue growth.

FAQs

How is a virtual CFO different from a professional who files my returns?

A professional who files your returns looks after the past: returns, audits and records. A virtual CFO also looks forward: plans, cash, funding and decisions.

How many hours a month do I get?

That depends on the plan agreed. The scope, rhythm and deliverables are fixed in the quotation.

Can you help me raise money?

Zenith can prepare the financial model, information pack and diligence support. It does not promise funding or act as a securities intermediary.

Will you also keep my books?

Bookkeeping can be part of the engagement or run alongside it. It is a separate scope.

Can I upgrade later to a full-time CFO?

Yes. A virtual CFO often helps define the role and hand over when you are ready.

Who is accountable for the numbers?

You and your board or partners. The virtual CFO advises, reviews and supervises.

Is the work confidential?

Yes. Your financial documents are used only for the engagement.
