GST Registration Cancellation

Close a GST registration properly: pending-return check, stock and credit reversal, REG-16 application, officer queries and the final GSTR-10 return.

Overview

Cancelling a GST registration closes your GSTIN: you stop charging GST, stop claiming input tax credit and stop filing regular returns. You apply on the portal in Form GST REG-16 and the officer passes a cancellation order in Form REG-19. Cancellation is not the end of your obligations: tax on closing stock and capital goods has to be paid and a final return (GSTR-10) must be filed.

Who needs it

  • Businesses that have closed permanently, or sold, merged or demerged their business.
  • Proprietors who convert to a company or partnership (the new entity has a different PAN and needs a new GSTIN).
  • Small businesses whose turnover has fallen below the threshold and who no longer wish to remain registered.
  • Legal heirs of a deceased proprietor.
  • Registered persons who were never required to register and no longer see a use for the registration.

Separately, the tax officer can cancel a registration on their own if returns are not filed for six continuous months, the premises cannot be found, a voluntary registrant has not started business within six months, or fraud is suspected. In that case the taxpayer gets a show-cause notice first.

What Zenith does

Zenith listens first: why you want to cancel, the date business stopped, pending returns, stock in hand and any notices. We give a tailored quotation and assign a relationship manager. We review that returns are filed up to the cancellation date, compute the credit reversal on stock and capital goods with you, choose the right reason and effective date, prepare REG-16 with the supporting proof, and file it with your signature. After the order we help prepare and file GSTR-10 and confirm nothing is left open. If your registration is under officer-initiated cancellation, we prepare the reply to the show-cause notice. Replies and representation before authorities are handled only through appropriately authorised professionals, subject to eligibility and applicable rules.

Eligibility and key rules

  • Only an active registration can be cancelled. Pending returns are generally expected to be filed before the officer approves.
  • Choose a reason from the list: closure, transfer, change in constitution, turnover below threshold, death of proprietor.
  • The effective date cannot be in the future.
  • Input tax credit on inputs in stock, semi-finished and finished goods and capital goods must be reversed (or the corresponding tax paid) before cancellation takes effect.
  • A voluntarily cancelled registration cannot be revived through revocation; revocation is for officer-initiated cancellations.
  • Closing without cancelling leaves the registration open, so returns remain due and late fees keep accruing.

Documents required

  • GST portal login details and the signatory's DSC or mobile for EVC.
  • Statement of stock and capital goods on the effective date, with values.
  • Details of pending tax liability and how it will be paid.
  • Supporting proof depending on the reason: closure proof or board resolution, sale deed or merger documents, new PAN and incorporation certificate for conversion, death certificate and legal heir details.
  • Copies of all returns filed to date (for review).
  • Any show-cause notice (Form REG-17) received.

Process and timeline

  1. Reconcile and file all pending returns.
  2. Log in and go to Services, Registration, Application for Cancellation of Registration.
  3. Confirm the auto-filled details, select the reason and effective date.
  4. Enter stock values and the liability to be paid; upload documents.
  5. Verify with DSC or EVC and submit; note the ARN.
  6. The officer reviews and may ask questions; on approval the order is issued in Form REG-19.
  7. File the final return GSTR-10 and pay any balance liability.

Timelines depend on completeness, complexity and authority processing; a review period of a few weeks is common. If the officer started the cancellation, reply to Form REG-17 with Form REG-18 within the time stated in the notice, usually 7 working days.

Government fees, penalties and due dates

  • No government fee applies to the application.
  • GSTR-10 is due within three months of the date of cancellation or the date of the cancellation order, whichever is later. One public source states a 30-day window, so Zenith confirms the date from your order.
  • Late fee for delayed GSTR-10: Rs 200 per day (Rs 100 CGST plus Rs 100 SGST), unless a notified waiver applies.
  • Tax on reversal of credit and any unpaid dues carry interest from the due date.
  • Amounts and dates above reflect public sources read in October 2026 and change with notifications, so Zenith confirms the current figures in your quotation.

Common mistakes

  • Closing the business and stopping returns without applying for cancellation.
  • Leaving out the stock and capital goods valuation, then facing a query or a notice later.
  • Selecting a future effective date or the wrong reason.
  • Not filing GSTR-10 on time.
  • Cancelling before checking whether a refund or a pending claim is outstanding.
  • Missing the reply window for a show-cause notice.

FAQs

Can I cancel instead of filing nil returns?

If you have stopped business or are no longer liable to register, cancellation ends the return obligation; filing nil returns indefinitely is not a substitute.

Do I need to reverse input tax credit?

Yes, credit on stock and capital goods held on the cancellation date is reversed or the equivalent tax is paid.

Is GSTR-10 compulsory?

Yes. It is the final return after cancellation, and composition dealers and regular taxpayers both file it.

Can I cancel a registration of a deceased proprietor?

Yes, legal heirs can apply with proof of death and their own details.

Can the cancellation be reversed?

Only a cancellation initiated by the tax officer can be revoked, and within a limited time. A voluntary cancellation requires a fresh registration if you need one later.

Do I need a new registration if I convert my business?

Usually yes, because the new entity has a different PAN. Zenith can coordinate the cancellation and the new registration so there is no gap.
