Director KYC (DIR-3 KYC)
File a director's annual KYC on DIR-3 KYC or DIR-3 KYC Web so the DIN stays active and company filings are not blocked, with OTP, signature and certification handled.
Overview
Every individual who holds an approved Director Identification Number (DIN) must confirm their personal details with the Ministry of Corporate Affairs once a year. This is done through Form DIR-3 KYC, or the shorter DIR-3 KYC Web when nothing has changed. Both are filed on the MCA21 portal under the Companies (Appointment and Qualification of Directors) Rules, 2014, and are verified by one-time passwords sent to the director's own mobile number and email.
The duty is personal to the DIN holder. It applies whether or not the company is active, and it applies to directors of several companies through a single filing.
Who needs it
- Directors and designated partners who hold an approved DIN or DPIN.
- Directors who have never filed KYC since receiving their DIN.
- Directors whose mobile number, email or address has changed.
- Directors whose DIN was marked deactivated for missing the last deadline.
What Zenith does
Zenith listens first to your DIN status and what you filed before, then clarifies the scope and gives a tailored quotation. A relationship manager is assigned and you receive an assignment-specific checklist.
- Check the DIN status and which form applies to you (DIR-3 KYC or DIR-3 KYC Web).
- Review your identity and address documents against the form's requirements.
- Prepare the form, arrange the OTP verification with you, and coordinate your digital signature and the professional's certification.
- File, track the SRN and share the acknowledgement email.
- Hand over the proof of filing with a plain explanation and a reminder date for next year.
The certification on the form is given by an authorised practising professional, as the rules require.
Eligibility and key rules
- Who files: every director with an approved DIN as at the end of the financial year, including directors who are disqualified.
- Due date: 30 September following the financial year. Extensions are sometimes announced; one source records an extension for FY 2024-25 to 31 October 2025 with a smaller late fee in the extended window.
- DIR-3 KYC (full form): for the first filing after DIN allotment, or whenever the mobile number, email or other details change.
- DIR-3 KYC Web: for a director who has filed before and has no changes; the details are pre-filled from MCA records and cannot be edited.
- Contact details: the mobile number and email must be the director's own and are verified by OTP.
- PAN: an Indian director's PAN is verified during filing. A foreign national without a PAN must have the name match their digital signature certificate.
- Signatures: the form carries the director's own DSC and the certifying professional's DSC.
Documents required
- PAN card and Aadhaar card of the director.
- Permanent address proof (voter ID, driving licence or PAN-based record) and present address proof such as a recent utility bill or rental agreement not older than two months.
- Passport for a foreign national or where it is the chosen identity proof.
- Director's valid digital signature certificate.
- Mobile number and email that the director controls.
- Any change documents if the address or contact details moved.
Process and timeline
- Confirm the DIN is approved and identify the right form.
- Gather identity and address proofs and test access to the mobile number and email.
- Log in to MCA21, open the DIN-related filing and enter the DIN.
- Verify the OTPs sent to the mobile number and email.
- Fill or confirm the personal and address details and verify the PAN.
- Attach documents, sign with the director's DSC and have the professional certify.
- Submit and note the SRN; the confirmation arrives by email.
Timelines depend on completeness, complexity and authority processing.
Government fees, penalties and due dates
- One source lists no government fee for filing before the due date and another lists a nominal fee, so the amount is confirmed at filing.
- A DIN that misses the due date is shown as deactivated for non-filing. Sources quote a late fee of ₹5,000 to reactivate it by filing the pending KYC.
- One source notes that during an extended window for FY 2024-25 a late fee of ₹500 applied; this is an example of why the exact amount is checked at filing time.
- A deactivated DIN blocks the director from signing company filings until it is restored.
Amounts and dates above reflect public sources read in October 2026 and change with notifications, so Zenith confirms the current figures in your quotation.
Common mistakes
- Using an office or agent's mobile number or email, so the OTP goes to the wrong person.
- Filing the web version after details have changed.
- Address proofs older than two months.
- Forgetting directors who hold a DIN but sit on a dormant or struck-off company.
- Assuming a company's annual filing covers the director's own KYC.
- Letting the DSC expire before filing.
