LLP Partner and Designated Partner Changes
Add or remove a partner or designated partner, or change a designation, with the supplementary agreement, DPIN and DSC support and the Form 3 and Form 4 filings.
Overview
An LLP's partners and designated partners can change over time: a new partner joins, a partner retires, a designated partner resigns, or a designation changes. Each change must be recorded in the LLP agreement and reported to the Registrar of Companies, mainly through Form 4 (notice of appointment, cessation or change of designation) and Form 3 (information on the LLP agreement and changes to it), generally within 30 days of the change. A new designated partner also needs a DPIN and a digital signature certificate.
Who needs it
- LLPs adding a partner or a designated partner.
- LLPs where a partner is retiring, resigning or leaving, including by death.
- LLPs changing a partner's designation or recording a change in a partner's name or address.
- LLPs that made a change earlier but never filed it, and now find Form 11 blocked.
What Zenith does
Zenith listens first to what is changing and who is involved, then clarifies scope and quotes. A relationship manager is assigned and a checklist is shared.
- Review the existing LLP agreement to see what it permits and what must be amended.
- Arrange the DPIN and DSC for an incoming designated partner.
- Draft the supplementary agreement, consent letters and, for exits, the retirement or resignation paperwork.
- Prepare and file Form 4 and Form 3 within the time allowed, and track the SRN.
- Hand over the filed forms with an explanation of what changes in the LLP's records and what the new or exiting partner should do next.
Changes to profit sharing, capital and exit payments are commercial decisions for the partners; Zenith documents them as instructed.
Eligibility and key rules
- An LLP must have at least two designated partners, and at least one must be resident in India.
- A designated partner must be an individual, at least 18 years old, with a DPIN. Reasons for ineligibility include unsound mind, insolvency and certain offences, as described by the sources read.
- Corporate bodies can be partners; they act through a nominee.
- Foreign nationals can be designated partners; a passport apostilled or notarised if not in English is typically needed.
- If an LLP has fewer than two designated partners, every partner is treated as a designated partner until the vacancy is filled.
- The LLP agreement governs rights and duties, so a new partner is added by agreement, with the consent of the other partners.
- Form 11 for the year cannot be filed while a Form 4 is pending or unpaid, so changes should be reported before the annual return.
- A partner who fails to file financial statements for three consecutive years can be barred from serving as a designated partner for five years.
Documents required
- Existing LLP agreement and any supplementary agreements.
- Consent of the incoming partner and of the existing partners; resignation or retirement letter for an exit.
- PAN and identity proof, address proof and a recent photograph of the incoming partner; a passport for a foreign national.
- DPIN and DSC of the incoming designated partner.
- Supplementary LLP agreement signed by the partners.
- Details of capital contribution and any profit-sharing change.
Process and timeline
- Confirm the change, effective date and the LLP agreement's position.
- Obtain the DPIN and DSC for the incoming designated partner.
- Hold the partners' meeting and sign the supplementary agreement.
- File Form 4 for the appointment, cessation or change in designation within 30 days.
- File Form 3 with the supplementary agreement within 30 days.
- Confirm the change appears in the LLP's MCA master data.
Timelines depend on completeness, complexity and authority processing.
Government fees, penalties and due dates
- The government fee for Forms 3 and 4 depends on the LLP's contribution and is shown separately in the quotation.
- Delay in filing brings an additional fee per day; the exact amount is confirmed at the time of filing.
- A DPIN application for a person who has no DIN carries its own government fee, and a DSC is a separate cost.
- Non-filing of the annual return can attract a penalty of up to ₹5 lakh on the LLP and its designated partners, per the sources read.
Amounts and dates above reflect public sources read in October 2026 and change with notifications, so Zenith confirms the current figures in your quotation.
Common mistakes
- Treating an informal partner exit as complete without a Form 4.
- Adding a designated partner who does not yet have a DPIN or DSC.
- Leaving the LLP with one designated partner or none resident in India.
- Forgetting the supplementary agreement or filing Form 3 with the wrong version.
- Waiting for the annual return and then finding it blocked by a pending Form 4.
- Not updating the bank and statutory records after the change.
