Private Limited vs LLP vs OPC: which should you register in India?
18 October 2026
A Private Limited company suits businesses that want to raise investment, an LLP suits professionals and small partnerships, and a One Person Company suits a single founder. Here is how they differ and how to choose.
What is the difference between a Private Limited company, an LLP and an OPC?
All three are separate legal entities, so the business can own property and sign contracts in its own name, and the owners are not personally liable beyond what they put in (apart from cases of fraud or wrongful acts).
- Private Limited company: owned by shareholders and run by directors. It needs at least two directors and two shareholders, and it can issue shares to investors.
- LLP (Limited Liability Partnership): owned by partners. It needs at least two partners, two of whom act as designated partners. Profit sharing is set in the LLP agreement.
- One Person Company (OPC): a company with a single owner who names a nominee. It is meant for a sole founder who wants limited liability.
Which one is easier to run?
An LLP generally has lighter compliance than a company. It files an annual return and a statement of accounts, and it needs an audit only above the limits set in the rules. A Private Limited company and an OPC must hold board meetings, keep statutory records, get their accounts audited and file annual forms with the Registrar of Companies every year.
Which one is better for raising money?
If you plan to bring in venture or angel investors, a Private Limited company is the usual choice because it can issue shares and stock options. An LLP cannot issue shares, which makes equity funding harder. An OPC cannot take on outside shareholders without changing its structure.
Who can form an OPC?
An OPC can be formed by a natural person who is an Indian citizen and resident. A person can be the sole member of only a limited number of OPCs, and the rules on conversion and thresholds have changed over time, so check the current provisions.
How do I choose?
- Choose a Private Limited company if you want investors, employee stock options or a structure that looks familiar to banks and large customers.
- Choose an LLP if you are a professional firm or a small business with partners, want flexibility in how profits are shared and want lighter compliance.
- Choose an OPC if you are a single founder who wants limited liability without a co-founder.
There is no single best answer. Tax treatment, funding plans and compliance cost all matter, so talk it through with an expert before you decide.
