Annual compliance for a Private Limited company and an LLP in India
18 October 2026
A company or LLP in India has filing duties every year, whether or not it earned anything. This checklist covers what a Private Limited company and an LLP usually have to file, and when.
What must a Private Limited company file every year?
- Annual general meeting (AGM): held within six months of the end of the financial year, apart from the first AGM, which has a longer limit
- Financial statements (Form AOC-4): filed with the Registrar of Companies within 30 days of the AGM
- Annual return (Form MGT-7): filed within 60 days of the AGM
- Board meetings: at least four a year, with no more than the permitted gap between two meetings
- Director KYC (DIR-3 KYC): every director completes it each year, see director KYC
- Auditor appointment and filings: the auditor is appointed for a term and the appointment is reported, see auditor appointment
- Return of deposits (DPT-3): most companies must report outstanding loans and similar amounts, see DPT-3
- Income tax return and tax audit where applicable
What must an LLP file every year?
- Form 11 (annual return): details of partners and contribution, usually due in the second month after the financial year ends
- Form 8 (statement of account and solvency): usually due around the end of October
- Income tax return of the LLP
- Audit if turnover or contribution crosses the limits set in the rules
An LLP does not need to hold an AGM. See LLP annual filing.
What happens if I miss a due date?
Additional fees apply for every day of delay, and for companies they can add up to more than the cost of filing on time. Directors can be disqualified if a company does not file its financial statements or annual returns for a long period, and a company that stays inactive can be struck off the register. The details are in the Companies Act and the LLP Act and the fees are set by the Ministry of Corporate Affairs.
Do these filings apply if the company has no business?
Yes. A company or LLP with no turnover still files its annual forms. There are options for dormant companies and for closing a company that is not needed, but they have to be applied for.
How do I keep track?
Put the due dates for your financial year on a calendar in April. Keep the books of account updated each month so that the financial statements are ready before the AGM. Our compliance calendar lists the main dates in one place.
Can Zenith Filings handle these filings?
